Kathleen has been a partner in the Tax department since 2001. She specialises in private equity transactions, regularly acting for both institutional investors and management teams. She is individually recommended by Chambers and PLC as one of the City's leading tax practitioners.
 
Kathleen has been a member of the BVCA Tax Committee since 2002 and is regularly involved in discussions with HMRC on the BVCA's behalf.
 
Kathleen is also a frequent speaker at conferences and has recently co-authorised the tax chapter in City and Financials "A Practitioners Guide to Private Equity".

Kathleen regularly acts for a number of institutional investors including Phoenix, Bank of Scotland Integrated Finance, 3i, Exponent, and Bridgepoint.

Recent experience includes advising:

  • Bridgepoint in its acquisition of Wolters Kluwer Education
  • 3i on the proposed public to private of Enterprise PLC
  • Macquarie on its acquisition of MOTO
  • Saga management on the proposed merger of SAGA with the AA
  • Bridgepoint and management on the sale of Pets at Home
  • Barclays Private Equity and management on the sale of Deb
  • Management in respect of their incentivisation arrangements with Alliance Boots
  • SAGA management in respect of the initial buy-out and merger between SAGA and AA
  • Macquarie in relation to management equity arrangements in respect of several of their portfolio companies, including Moto, European Directories and Red Bee.
  • 3i in respect of the public to private of Civica and on the acquisition of SLR
  • Bridgepoint on the acquisitions of Pret a Manger and Hobbycraft
